Wholesale Partnership Agreement
MYOFRAME™ WHOLESALE PARTNER AGREEMENT
This Wholesale Partner Agreement ("Agreement") is entered into between AYRCYNIA USA LLC, doing business as MYO-FRAME ("MYO-FRAME"), located at 967 E Parkcenter Blvd #200, Boise, Idaho 83706, and the applying clinic, medspa, or healthcare provider
("Wholesale Partner").
By submitting a wholesale account application and receiving approval from MYO-FRAME, the Wholesale Partner agrees to the following terms.

SECTION 1 — ELIGIBILITY
Wholesale accounts are available exclusively to licensed healthcare providers,
GLP-1 clinics, medical spas, functional medicine practices, and other qualified
healthcare businesses operating in the United States. MYO-FRAME reserves the right
to approve or deny any wholesale application at its sole discretion.

SECTION 2 — AUTHORIZED USE
MYO-FRAME products purchased through the wholesale program are authorized for
resale to patients and clients of the Wholesale Partner only. Wholesale Partners
may not resell MYO-FRAME products through third-party online marketplaces including
but not limited to Amazon, eBay, or any other e-commerce platform without prior
written consent from MYO-FRAME.

SECTION 3 — PRICING AND MINIMUM ORDER
Wholesale pricing and minimum order quantities are communicated at the time of
account approval and are subject to change with reasonable notice. MYO-FRAME
reserves the right to adjust pricing for future orders.

SECTION 4 — RETAIL PRICE (MSRP)
Wholesale Partners agree to honor the Manufacturer's Suggested Retail Price (MSRP)
established by MYO-FRAME. Discounting below MSRP is not permitted without prior
written approval from MYO-FRAME.

SECTION 5 — BUYBACK GUARANTEE
MYO-FRAME offers a buyback guarantee on initial wholesale orders under the terms
communicated at the time of account approval. Buyback requests must be submitted
in writing to support@myoframe.com within the eligible period. Buyback applies
to unopened units only.

SECTION 6 — MARKETING AND BRAND USE
Wholesale Partners are permitted to promote MYO-FRAME to their patients and clients
using approved marketing materials provided by MYO-FRAME. Wholesale Partners may
not alter, modify, or misrepresent MYO-FRAME branding, claims, or product
information. All marketing materials and claims must comply with applicable FDA
regulations.

SECTION 7 — PROHIBITED CLAIMS
Wholesale Partners may not make medical claims about MYO-FRAME beyond those
provided in official MYO-FRAME marketing materials. MYO-FRAME is a dietary
supplement and must be represented as such at all times.

SECTION 8 — ACCOUNT TERMINATION
MYO-FRAME reserves the right to terminate any wholesale account at its sole
discretion, including for violation of any terms of this Agreement, failure to
maintain minimum order activity, or conduct deemed harmful to the MYO-FRAME brand.

SECTION 9 — LIMITATION OF LIABILITY
MYO-FRAME shall not be liable for any indirect, incidental, or consequential
damages arising from the resale of MYO-FRAME products by the Wholesale Partner.
The Wholesale Partner assumes all responsibility for how products are represented
and sold to their patients and clients.

SECTION 10 — GOVERNING LAW
This Agreement shall be governed by the laws of the State of Idaho. Any disputes
arising under this Agreement shall be resolved in the state or federal courts
located in Ada County, Idaho.

By submitting a wholesale account application, the Wholesale Partner acknowledges
that they have read, understood, and agree to the terms of this Agreement.
